Latham & Watkins Team Represents BioMed In $8B Acquisition

Latham & Watkins advised local real estate powerhouse BioMed Realty Trust Inc. in its acquisition by Blackstone Group for a handsome $8 billion. Completion of the transaction, which is expected to occur in the first quarter of 2016, is contingent upon customary closing conditions, including the approval of BioMed Realty’s stockholders.

Latham & Watkins’ corporate deal team was led from the firm’s San Diego office by partner Craig Garner, counsel Ann Buckingham and associates Kevin Reyes and Jeffrey Woodley; on benefits and compensation matters by San Diego counsel Holly Bauer; and on finance and real estate matters by San Diego partner Steven Levine.

Latham associate Jenna Woods also worked on another big M&A deal. She and an Orange County and New York team advised Morgan Stanley & Co. LLC, financial advisor to UTi

Worldwide Inc., in its acquisition by DSV. UTi is a global supply chain services and solutions provider, and the deal fetched a 34 percent premium over the 30-day volume weighted average trading price for the ordinary shares and a 50 percent premium relative to UTi’s closing trading price on Oct. 8. Mintz, Levin, Cohn, Ferris, Glovsky & Popeo PC is expanding its litigation practice and launching a West Coast white collar defense practice with the addition of Randy K. Jones. Jones joins the firm’s San Diego office as a member.

For the past 28 years, Jones has served as the Assistant U.S. Attorney for the Southern District of California in San Diego, where he distinguished himself as the “go-to” attorney for the district’s toughest cases. In this role, he represented the U.S. in all phases of trial advocacy and litigation, from formal discovery to pre-trial settlement negotiation, expert witness preparation, federal grand jury proceedings and preparation and presentation of briefs and oral arguments before the U.S. Ninth Circuit Court of Appeals. He successfully tried to completion more than 50 federal jury trials spanning a diverse range of matters, including white collar fraud schemes, financial crimes, immigration offenses and complex criminal conspiracies. Federal, state and local law enforcement agencies regularly sought his counsel for complex investigation and prosecution strategies.

“Over the course of his distinguished career, Randy has earned the respect of judges, fellow prosecutors and the business community atlarge for both his skills as a lawyer and his deep commitment to the community,” said Eddie Wang Rodriguez, managing member of Mintz Levin’s San Diego office. “He will make a great addition to the San Diego office, which now includes more than 50 attorneys across a half-dozen practice areas. We’re delighted that he’s bringing his remarkable talents to our firm and the San Diego office.”

Jones began his legal career as a member of the U.S. Navy Judge Advocate General’s Corps, where he represented the Department of the Navy in various legal matters and counseled senior naval executives on commercial and litigation issues. His experience comprised a wide array of domestic and international matters, including environmental law, government contracts and federal tort claims. After nearly three decades of service —during which he tried more than 200 felony jury trials and successfully negotiated settlements for hundreds of other federal cases — he retired with the rank of commander.

New Media Rights has been awarded a Citywide Small Business Enhancement Program grant from the City of San Diego Office of Small Businessfor the fourth year in a row. New Media Rights is a clinical program at California Western School of Law that provides legal services, advocacy, and education to Internet users.

“This unique type of technical assistance is of great value to entrepreneurs and small businesses served through this program,” members of the grant review committee wrote. “This specialized and tailored assistance also supports small businesses within the arts and creative communities, which is greatly needed.” In addition to helping individual Internet users and tech startups, New Media Rights focuses on assisting organizations that provide better access to public information, greater business, and government accountability, or unique new perspectives to the cultural landscape. New Media Rights also takes part in regulatory proceedings at the FCC and U.S. Copyright Office.New Media Rights received a perfect score on the grant application, and will receive $24,197 in funding.
